Terms of Service

The contract between you and BizlumoAI when you sign up for our services. We've kept the language plain. Read it once.

The short version You sign up, you pay, we provide the HRMS. You own your data; we process it on your behalf. Either of us can end the relationship at any time. Below is the full version. Indian law applies; jurisdiction is Gautam Budh Nagar, Uttar Pradesh.

1. Acceptance of these terms

By creating an account on BizlumoAI ("the Service"), you agree to these Terms of Service ("Terms"). If you're agreeing on behalf of a company, you confirm you have the authority to bind that company to these Terms. The terms "you" and "your" refer to the individual or company using the Service.

"We", "us", "our", and "BizlumoAI" refer to MoonFellow IT Solutions Pvt Ltd, a company incorporated in India under CIN U62099UP2023PTC192568, with registered office at 60, D Block, Sector 63, Noida, Uttar Pradesh 201301. GSTIN: 09AARCM4870C1Z5. BizlumoAI is a product of MoonFellow IT Solutions Pvt Ltd.

2. Our services

BizlumoAI is a cloud-based Human Resources Management System (HRMS) that includes face-recognition attendance, leave management, payroll processing, expense management, and related features. Specific features available depend on the plan you subscribe to (see Pricing).

We may add, modify, or remove features from time to time. We'll give you reasonable notice of material changes that affect features included in your current plan.

3. Your account

3.1 Eligibility

You must be at least 18 years old and capable of entering into a binding contract under Indian law. The Service is intended for businesses, not individual consumers.

3.2 Account security

You're responsible for keeping your account credentials confidential and for all activity that happens under your account. Use strong passwords. Don't share them. Notify us immediately at security@bizlumoai.com if you suspect unauthorised access.

4.1 Ownership

You own your data. Everything you upload — employee records, attendance logs, payroll data, expense receipts — belongs to you. We process it on your behalf solely to provide the Service.

4.2 Our use of your data

We use your data to provide the Service, generate reports for you, improve our infrastructure, and comply with legal obligations. We do not sell your data to third parties. We do not currently use your data to train AI models for other customers; if this ever changes, we will require explicit opt-in from you and it will be off by default.

4.3 Data location

All customer data is stored on servers located in India (AWS Mumbai region, ap-south-1). Data does not leave Indian jurisdiction except in transit when you access the Service from outside India.

4.4 Data retention and deletion

When you cancel your account, your data is preserved for 90 days in case you want to reactivate. After 90 days, it's permanently deleted (except where we're required by law to retain it longer — e.g. tax records under the Income Tax Act).

5. Payment

5.1 Subscription billing

Paid plans are billed in advance via Razorpay (UPI, cards, netbanking). You can choose monthly or annual billing cycles. By providing payment details, you authorise us (through Razorpay) to charge the subscription fee on each renewal until you cancel.

Annual billing is priced at 10× the monthly amount, giving you effectively two months free per year (~17% savings).

5.2 Pricing and taxes

Prices are listed in INR on our pricing page. All listed prices are GST-inclusive at the currently applicable rate (HSN/SAC 998314). The amount you see on the pricing page is the total amount charged. Each invoice clearly shows the base value and GST split (CGST+SGST for intra-state customers, IGST for inter-state). If statutory GST rates change, revised prices will apply to future billing cycles.

5.3 Failed payments

If a payment fails, Razorpay will automatically retry per its dunning policy with email notifications throughout. If still unpaid after the retry window, your subscription is halted and most account actions are blocked (a "Payment Required" response). Logins and the billing page remain accessible so you can update your payment method. See section 7.

5.4 Refunds

Within 30 days of your latest paid invoice, you can cancel-now-with-refund and receive a pro-rata refund for the unused portion of the current billing period (computed on the net amount you actually paid, after any prior discounts on that invoice). Outside the 30-day window, cancellation is at-period-end only (no refund). Refunds are processed via Razorpay back to the original payment method, settling in 5–10 business days depending on your bank. 5.5 Plan changes

Upgrades (e.g. Starter → Growth, or Monthly → Annual) take effect immediately, with prorated charges handled by Razorpay on your next renewal.

Downgrades take effect at your next renewal date. You keep your current plan's features until then.

6. Free trial

We offer a 14-day free trial on Starter, Growth, and Business plans (Enterprise gets 30 days). No credit card required. During the trial, you have full access to all features of the plan you selected. We'll email you 3 days and 1 day before the trial ends.

If you don't upgrade by the end of the trial, your account goes read-only. You can upgrade at any time within 90 days to restore full access. After 90 days, the account is deleted (see section 4.4).

7. Suspension and termination

7.1 By us

We may suspend or terminate your account if:

For non-payment, we will provide reasonable notice (typically at least 7 days) by email before suspending. For violations, we may suspend or terminate immediately, with or without notice, if there is risk of harm to others or to the integrity of the Service.

9.1 Service availability

We work hard to keep the Service available 24/7 and aim for high uptime, but we do not guarantee uninterrupted or error-free access. The Service may be temporarily unavailable due to scheduled maintenance, unscheduled emergencies, or factors outside our control. Scheduled maintenance will, where reasonably practicable, be announced in advance via in-app notification.

9.2 Disclaimers

The Service is provided "as is" without warranties of any kind, express or implied, except as required by Indian consumer protection law. We don't warrant that the Service will be error-free, that defects will be corrected, or that the Service is free from viruses or malicious components.

9.3 Limitation

To the maximum extent permitted by law, our total liability to you for any claim arising out of or relating to these Terms or the Service will not exceed the amount you paid us in the 12 months preceding the claim.

We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, loss of data, or business interruption, even if we've been advised of the possibility of such damages.

9.4 Indemnification

You agree to indemnify us against claims arising from your misuse of the Service, your violation of these Terms, or your violation of any third-party rights (including data protection rights of your employees whose data you upload).

10. Changes to these terms

We may update these Terms from time to time. Material changes will be announced at least 30 days in advance via email and in-app notice. Continued use of the Service after changes take effect means you accept the updated Terms. If you don't agree to changes, you can cancel your account.

11. Governing law and disputes

These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts at Gautam Budh Nagar, Uttar Pradesh, India.

Before initiating legal proceedings, you agree to attempt to resolve the dispute informally by contacting us at legal@bizlumoai.com. We'll respond within 14 business days.

12. General provisions

12.1 Force majeure

Neither party will be liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, pandemic, government action, internet or utility outages, denial-of-service attacks, or failures of third-party infrastructure or services on which the Service depends (including but not limited to AWS, Razorpay, email providers, and DNS providers).

12.2 Severability

If any provision of these Terms is held invalid or unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.

12.3 No waiver

Our failure to enforce any provision of these Terms is not a waiver of our right to enforce that or any other provision later. Any waiver must be in writing and signed by us to be effective.

12.4 Assignment

You may not assign or transfer your rights or obligations under these Terms, by operation of law or otherwise, without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganisation, or sale of all or substantially all of our assets. Any attempted assignment in violation of this section is void.

12.5 Survival

Any provisions of these Terms that, by their nature, should survive termination or expiration — including without limitation those relating to your data, payment obligations, limitation of liability, indemnification, governing law, disputes, and these general provisions — will continue to apply after these Terms end.

12.6 No third-party beneficiaries

These Terms are between you and us only. They do not create any rights, benefits, or causes of action for any third party.

12.7 Entire agreement

These Terms, together with our Privacy Policy and Refund & Cancellation Policy, constitute the entire agreement between you and us regarding the Service and supersede any prior or contemporaneous agreements, communications, or understandings.

12.8 Notices

Any notice to us under these Terms must be sent to legal@bizlumoai.com and will be deemed received on the next business day after sending. Notices to you will be sent to the email address associated with your account and will be deemed received when sent.
