1. Acceptance of these terms
By creating an account on BizlumoAI ("the Service"), you agree to these Terms of Service ("Terms"). If you're agreeing on behalf of a company, you confirm you have the authority to bind that company to these Terms. The terms "you" and "your" refer to the individual or company using the Service.

2. Our services
BizlumoAI is a cloud-based Human Resources Management System (HRMS) that includes face-recognition attendance, leave management, payroll processing, expense management, and related features. Specific features available depend on the plan you subscribe to (see Pricing).
We may add, modify, or remove features from time to time. We'll give you reasonable notice of material changes that affect features included in your current plan.
3. Your account
3.1 Eligibility
You must be at least 18 years old and capable of entering into a binding contract under Indian law. The Service is intended for businesses, not individual consumers.
3.2 Account security
You're responsible for keeping your account credentials confidential and for all activity that happens under your account. Use strong passwords. Don't share them. Notify us immediately at security@bizlumoai.com if you suspect unauthorised access.
3.3 Acceptable use
You agree not to:
- Use the Service for any unlawful purpose
- Upload data you don't have the right to upload (e.g. employee data without consent)
- Reverse engineer, decompile, or attempt to extract source code
- Use the Service to send spam or malware
- Probe, scan, or test the vulnerability of our infrastructure (see our security page for our responsible disclosure policy)
- Resell or sublicense the Service without our written permission
4. Your data
4.1 Ownership
You own your data. Everything you upload — employee records, attendance logs, payroll data, expense receipts — belongs to you. We process it on your behalf solely to provide the Service.
4.2 Our use of your data
We use your data to provide the Service, generate reports for you, improve our infrastructure, and comply with legal obligations. We do not sell your data to third parties. We do not use your data to train AI models that benefit other customers.
4.3 Data location
All customer data is stored on servers located in India (AWS Mumbai region, ap-south-1). Data does not leave Indian jurisdiction except in transit when you access the Service from outside India.
4.4 Data retention and deletion
When you cancel your account, your data is preserved for 90 days in case you want to reactivate. After 90 days, it's permanently deleted (except where we're required by law to retain it longer — e.g. tax records under the Income Tax Act).

5. Payment
5.1 Subscription billing
Paid plans are billed monthly in advance via Razorpay. By providing payment details, you authorise us (through Razorpay) to charge the subscription fee on each billing cycle until you cancel.
5.2 Pricing and taxes
Prices are listed in INR on our pricing page. All prices are exclusive of 18% GST, which is added at checkout per Indian tax regulations. Pricing applies to the plan you selected at signup.
5.3 Failed payments
If a payment fails, we'll retry automatically over the next 7 days (with email notifications). If still unpaid after the retry window, your account is suspended (read-only mode — you can still view your data but can't add new entries). See section 7.

6. Free trial
We offer a 14-day free trial on most plans. No credit card required. During the trial, you have full access to all features of the plan you selected. We'll email you 3 days and 1 day before the trial ends.
If you don't upgrade by the end of the trial, your account goes read-only. You can upgrade at any time within 90 days to restore full access. After 90 days, the account is deleted (see section 4.4).
7. Suspension and termination
7.1 By us
We may suspend or terminate your account if:
- You don't pay your subscription
- You violate these Terms (e.g. illegal use, security probing)
- You provide false information at signup
- Required by law or court order
For non-payment, we'll always email you first and give you at least 7 days to resolve before suspending. For violations, we may suspend immediately if there's risk of harm to others.
7.2 By you
You can cancel any time from your dashboard, no questions asked. You retain access through the end of your current billing period. No refund is issued for partial months unless required by Razorpay's mandatory refund rules.
8. Cancellation effects
When you cancel:
- Your subscription stops at the end of the current billing period
- You can export your data at any time during this period
- After cancellation, your data is preserved for 90 days
- You can reactivate within 90 days with no data loss
- After 90 days, all data is permanently deleted
9. Limitation of liability
9.1 Service availability
We work hard to keep the Service available 24/7. We target 99.9% uptime but don't guarantee uninterrupted access. Scheduled maintenance will be announced in advance via in-app notification.
9.2 Disclaimers
The Service is provided "as is" without warranties of any kind, express or implied, except as required by Indian consumer protection law. We don't warrant that the Service will be error-free, that defects will be corrected, or that the Service is free from viruses or malicious components.
9.3 Limitation
To the maximum extent permitted by law, our total liability to you for any claim arising out of or relating to these Terms or the Service will not exceed the amount you paid us in the 12 months preceding the claim.
We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, loss of data, or business interruption, even if we've been advised of the possibility of such damages.
9.4 Indemnification
You agree to indemnify us against claims arising from your misuse of the Service, your violation of these Terms, or your violation of any third-party rights (including data protection rights of your employees whose data you upload).
10. Changes to these terms
We may update these Terms from time to time. Material changes will be announced at least 30 days in advance via email and in-app notice. Continued use of the Service after changes take effect means you accept the updated Terms. If you don't agree to changes, you can cancel your account.
11. Governing law and disputes
These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts at [REPLACE: your city, e.g. Mumbai], India.
